Welcome to SwiftSheet. These Terms and Conditions ("Terms") govern your use of the SwiftSheet application and services (collectively, "Services"), operated by Distex Ltd ("we," "us," or "our"). By accessing or using SwiftSheet, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using SwiftSheet, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

2. Service Description

SwiftSheet is a professional form management platform that enables users to:

  • Create custom forms with advanced field types and conditional logic
  • Collect data through web and iOS applications
  • Manage customer databases with encrypted personal information
  • Generate professional PDF documents from form submissions
  • Store and sync data across multiple devices
  • Integrate with third-party services (Dropbox, OneDrive, Firebase)

3. User Accounts

3.1 Account Creation

To use SwiftSheet, you must create an account using a valid email address. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old (or 16 in the European Economic Area) to use SwiftSheet. By creating an account, you represent that you meet these age requirements.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited activities. You may delete your account at any time through the Settings menu.

4. Subscriptions and Payments

4.1 Subscription Plans

SwiftSheet offers subscription-based access to premium features. Subscription details, pricing, and features are available on our website and within the application.

4.2 Billing

  • Web Subscriptions: Processed through Stripe with automatic renewal
  • iOS Subscriptions: Processed through Apple App Store with automatic renewal via RevenueCat
  • You will be charged at the beginning of each billing period
  • Subscription fees are non-refundable except as required by law

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the subscription expires.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes apply to new subscriptions and renewals after the notice period.

5. Acceptable Use

5.1 Permitted Use

You agree to use SwiftSheet only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You must not:

  • Use SwiftSheet for any illegal or unauthorized purpose
  • Violate any laws, including privacy and data protection laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Reverse engineer, decompile, or disassemble any part of SwiftSheet
  • Use automated systems (bots, scrapers) without permission
  • Resell, redistribute, or sublicense SwiftSheet
  • Collect or harvest personal information from other users

6. User Content and Data

6.1 Your Data

You retain all rights to the data you input into SwiftSheet, including:

  • Form templates and configurations
  • Form submissions and responses
  • Customer information and records
  • Photos, signatures, and uploaded files

6.2 License to Process Your Data

By using SwiftSheet, you grant us a license to process, store, and display your data solely to provide the Services. This includes:

  • Storing data in our encrypted PostgreSQL database
  • Generating PDFs from your form submissions
  • Syncing data between web and iOS platforms
  • Uploading PDFs to connected third-party services (e.g., Dropbox) at your direction

6.3 Data Security

We implement AES-256-GCM encryption for sensitive personal information. However, you acknowledge that no method of transmission or storage is 100% secure. You are responsible for backing up your own data.

6.4 Prohibited Content

You must not upload or store content that:

  • Is illegal, harmful, threatening, or abusive
  • Infringes on intellectual property rights
  • Contains personal data of individuals without proper consent
  • Violates privacy or data protection laws (GDPR, CCPA, etc.)

7. Intellectual Property

7.1 Our Intellectual Property

SwiftSheet, including all software, designs, logos, trademarks, and content, is owned by Distex Ltd and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of SwiftSheet without our written permission.

7.2 Trademarks

"SwiftSheet" and the SwiftSheet logo are trademarks of Distex Ltd. You may not use our trademarks without prior written consent.

8. Third-Party Services

SwiftSheet integrates with third-party services including:

  • Firebase: User authentication
  • Dropbox: Optional PDF storage
  • OneDrive: Optional cloud storage
  • Stripe: Payment processing (web)
  • RevenueCat: Subscription management (iOS)

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

SwiftSheet is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Guarantee of Availability

We do not guarantee that SwiftSheet will be uninterrupted, secure, or error-free. We may suspend or terminate the Services for maintenance, updates, or other reasons without notice.

9.3 Limitation of Liability

To the maximum extent permitted by law, Distex Ltd shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages arising from use or inability to use SwiftSheet
  • Unauthorized access to or alteration of your data
  • Any third-party conduct or content

Our total liability shall not exceed the amount you paid for SwiftSheet in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Distex Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of SwiftSheet
  • Your violation of these Terms
  • Your violation of any third-party rights, including privacy rights
  • Content you upload or store in SwiftSheet

11. Data Protection and Privacy

We are committed to protecting your privacy. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using SwiftSheet, you consent to our processing of your data as described in the Privacy Policy.

12. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on our website
  • Updating the "Last Updated" date
  • Sending an email notification for significant changes

Your continued use of SwiftSheet after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of SwiftSheet shall be resolved through:

  1. Informal Resolution: Contact us at support@swiftsheet.co.uk to resolve the dispute informally
  2. Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA)
  3. Court Jurisdiction: The courts of England and Wales shall have exclusive jurisdiction over any claims not subject to arbitration

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis only and waive any right to participate in class actions or class-wide arbitration.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Distex Ltd regarding SwiftSheet and supersede all prior agreements.

16. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor without notice.

17. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
