Welcome to SwiftSheet. These Terms and Conditions ("Terms") govern your use of the SwiftSheet application and services (collectively, "Services"), operated by Distex Ltd ("we," "us," or "our"). By accessing or using SwiftSheet, you agree to be bound by these Terms.
1. Acceptance of terms
By creating an account or using SwiftSheet, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.
2. Service description
SwiftSheet is a professional form management platform that enables users to:
- Create custom forms with advanced field types and conditional logic
- Use AI-powered form generation to create forms from natural language descriptions (Beta)
- Collect data through web and iOS applications
- Manage customer databases with encrypted personal information
- Generate professional PDF documents from form submissions
- Store and sync data across multiple devices
- Integrate with third-party services (Dropbox, OneDrive, Firebase)
3. User accounts
3.1 Account creation
You must create an account using a valid email address. You are responsible for maintaining the confidentiality of your credentials, all activities under your account, and notifying us immediately of any unauthorized access.
3.2 Account eligibility
You must be at least 18 years old (or 16 in the EEA) to use SwiftSheet.
3.3 Account termination
We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.
4. Subscriptions and payments
4.1 Subscription plans
SwiftSheet offers subscription-based access to premium features.
4.2 Billing
- Web: Processed through Stripe with automatic renewal
- iOS: Processed through Apple App Store with automatic renewal via RevenueCat
- You'll be charged at the start of each billing period
- Fees are non-refundable except as required by law
4.3 Cancellation
Cancel anytime. Cancellation takes effect at the end of the current billing period.
4.4 Price changes
We may change prices with 30 days' notice, applying to new subscriptions and renewals after the notice period.
5. Acceptable use
5.1 Permitted use
You agree to use SwiftSheet only for lawful purposes and in accordance with these Terms.
5.2 Prohibited activities
You must not:
- Use SwiftSheet for any illegal or unauthorized purpose
- Violate any laws, including privacy and data protection laws
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services or servers
- Reverse engineer any part of SwiftSheet
- Use automated systems without permission
- Resell, redistribute, or sublicense SwiftSheet
- Collect or harvest personal information from other users
6. User content and data
6.1 Your data
You retain all rights to the data you input into SwiftSheet, including form templates, submissions, customer records, photos, signatures, and uploaded files.
6.2 License to process your data
By using SwiftSheet, you grant us a license to process, store, and display your data solely to provide the Services.
6.3 Data security
We implement AES-256-GCM encryption for sensitive personal information. However, no method of transmission or storage is 100% secure. You're responsible for backing up your own data.
6.4 Prohibited content
You must not upload content that is illegal, infringes IP rights, contains personal data without consent, or violates privacy laws.
7. Intellectual property
SwiftSheet, including all software, designs, logos, trademarks, and content, is owned by Distex Ltd and protected by intellectual property laws.
8. Third-party services
SwiftSheet integrates with Firebase, Google Gemini AI, Dropbox, OneDrive, Stripe, and RevenueCat. Your use of these services is subject to their respective terms.
9. Disclaimers and limitations
9.1 Service "as is"
SwiftSheet is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
9.2 No guarantee of availability
We do not guarantee SwiftSheet will be uninterrupted, secure, or error-free.
9.3 Limitation of liability
To the maximum extent permitted by law, Distex Ltd shall not be liable for indirect, incidental, special, or consequential damages, loss of profits or data, or damages arising from use or inability to use SwiftSheet. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify Distex Ltd from claims arising from your use of SwiftSheet, violation of these Terms, violation of third-party rights, or content you upload.
11. Data protection and privacy
Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Modifications to Terms
We may modify these Terms at any time. We'll notify you of material changes by posting updated Terms, updating the "Last Updated" date, and emailing you for significant changes.
13. Governing law and dispute resolution
13.1 Governing law
These Terms are governed by the laws of England and Wales.
13.2 Dispute resolution
Disputes shall be resolved through (1) informal resolution via support@swiftsheet.co.uk, (2) binding arbitration under LCIA rules if informal resolution fails, (3) courts of England and Wales for claims not subject to arbitration.
13.3 Class action waiver
You agree to resolve disputes individually and waive participation in class actions.
14. Severability
If any provision is found invalid, the remaining provisions remain in full force.
15. Entire agreement
These Terms together with our Privacy Policy constitute the entire agreement between you and Distex Ltd regarding SwiftSheet.
16. Assignment
You may not assign these Terms without our written consent. We may assign to any affiliate or successor.
17. Waiver
Our failure to enforce any provision shall not constitute a waiver.
